Terms & Conditions
These Terms and Conditions ("Terms") govern the professional relationship, project deliverables, and code handovers between Web Vibe Digital (led by senior developer Md Mehadi Hassan) and you, the client .
By engaging us for design, engineering, optimization, or consulting services, you accept these Terms in full.
1. Scope of Services
Web Vibe Digital provides expert WordPress development services, including but not limited to custom plugin development, theme architecture, Elementor customization, WooCommerce systems engineering, and page speed optimization.
Every engagement is governed by a mutually agreed-upon Statement of Work (SOW), project brief, or invoice detailing the specific milestones, deliverables, and timelines. Any work outside the defined scope of the initial agreement will be subject to additional hourly rates or a separate contract.
2. Client Obligations
To maintain project momentum and avoid delivery delays, the Client agrees to:
- Provide all necessary assets, including Figma files, visual designs, copy, and database credentials, in a timely manner.
- Review deliverables promptly and provide consolidated feedback at agreed milestone checkpoints.
- Maintain active subscriptions for any proprietary third-party licenses (such as premium plugins, font libraries, or hosting accounts) utilized in the build.
We are not responsible for project delays caused by a failure to deliver assets or feedback within agreed-upon timelines.
3. Payments, Deposits, and Billing
- Payment Milestones: Standard engagements require a non-refundable upfront deposit before development begins. The remaining balance is split across predefined project milestones, as outlined in the invoice or SOW.
- Late Payments: Work will pause immediately if any milestone payment is delayed. We reserve the right to withhold code deployment, server handovers, and live site launches until all outstanding balances are cleared.
4. Intellectual Property & Licensing
- Custom Code Handoff: Upon full and final payment of all invoices, the intellectual property rights of all custom-written PHP, JavaScript, CSS, HTML, and database configurations transfer entirely to the Client.
- WordPress Core & GPL: Because our custom solutions are built upon the WordPress core, all code complies with the GNU General Public License (GPL).
- Third-Party Licenses: The Client retains sole responsibility for purchasing, maintaining, and updating licenses for any commercial plugins, page builders, or themes used in the final build.
5. Post-Launch Technical Support
We stand by the quality of our code. Every completed WordPress project includes 30 days of complimentary technical support starting immediately upon site launch or file handover.
- What is Covered: Resolution of bugs, broken layout blocks, styling errors, or database issues directly tied to our written code.
- What is Not Covered: Issues arising from client-side server changes, database tampering, theme customisations made by other developers, or updates to third-party plugins executed after handoff.
- Voiding Warranty: Any manual modifications to core code files, child themes, or structural templates by the Client or a third party during the 30-day window will void this support warranty immediately.
6. Limitation of Liability
Web Vibe Digital engineers high-performance web platforms to the highest technical standards. However, we cannot predict hosting outages or external browser rendering updates.
- We are not liable for any lost revenue, lost profit, business interruption, server downtime, or loss of data resulting from the deployment of our services.
- We are not liable for issues caused by security vulnerabilities, malware injections, or server hacks occurring on client-hosted environments post-handoff.
- Our total liability under any claim arising from this agreement is strictly limited to the amount paid to us for the specific phase of work causing the dispute.
7. Governing Law & Dispute Resolution
These Terms and any project contracts are governed by and construed in accordance with the laws applicable to international digital services agreements.
Before pursuing legal escalation, both Web Vibe Digital and the Client agree to make a good-faith effort to resolve any technical, financial, or communication disputes amicably through direct, written negotiation.
8. Termination of Service
Either party may terminate a project agreement with written notice if the other party breaches these Terms and fails to remedy the breach within 14 business days.
- If the Client terminates a project early, Web Vibe Digital will invoice for all hours logged and milestone development completed up to the official termination date.
- No completed files, custom codebases, or database exports will be transferred until all accrued work is paid in full.
